Chaintrier Avocats conseille Artal Asia dans le cadre de l’acquisition de la société indienne Capital Foods par Tata Consumer Products
Chaintrier Avocats advised Artal Asia Pte, the Singapore-based subsidiary of the Luxembourg-based Artal Group, alongside the Indian law firm Shardul Amarchand Mangaldas & Co, in connection with the acquisition of the Indian company Capital Foods—owner of the well-known brands “Ching’s Secret” and “Smith & Jones”—by Tata Consumer Products.
As a major player in India’s food sector, Tata Consumer Products is acquiring all of Capital Foods’ shares in two stages (75% followed by 25%).
Founded in 1996, Capital Foods owns the umbrella brands Ching’s Secret, a leader in food categories such as chutneys, masalas, sauces, and soups, as well as Smith & Jones, a rapidly growing brand offering Italian dishes and other Western cuisines.
This transaction is part of Tata Consumer Products’ strategy to expand its product portfolio and target market in India, thereby strengthening its strategic position in the global market.
In connection with this transaction, Artal Asia Pte was advised on legal matters by the team at Chaintrier Avocats, comprising partners Marc Stehlin and Romain Boyet, and attorney Pauline Pontier, as well as by the Indian law firm Shardul Amarchand Mangaldas & Co.
Goldman Sachs advised the sellers.
Tata Consumer Products was advised by Kotak Investment Banking on financial matters and by Khaitan & Co on legal matters.
